Terms of Service

Version 2026-10-21-draft-8 · Draft prepared 2026-09-06

These Terms of Service (“Terms”) govern access to and use of Quantum Fin (the “Service”), a business-management platform for microfinance institutions, provided by Gen Wealth Global [insert registration number — Registrar General’s Department], of 17K Freeman Close, Off School Junction Road, Adjiringano, East Legon, Accra, Ghana (GD-113-3089) [confirm this is Gen Wealth Global’s own registered address, not just the Paystack merchant contact address it was originally collected for] (“Quantum Fin,” “we,” “us”). By creating an account, you agree to be bound by these Terms and by our Privacy Policy. If you are creating an account on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business as well as you personally.

1. What Quantum Fin is

Quantum Fin is software that a Microfinance Bank, Community Bank, Credit Union, or Last-Mile Provider (each a “Business”) uses to run onboarding, savings, loans, susu operations, compliance tracking, and reporting. Quantum Fin is a technology provider, not a bank, lender, deposit-taker, or licensed financial institution. We do not extend credit, hold deposits, or make lending decisions. Each Business is solely responsible for holding whatever license, registration, or regulatory approval its own operations require under Bank of Ghana rules (including Notice BG/GOV/SEC/2026/03) or any other applicable law, and for the accuracy and legality of every decision it makes using the Service.

2. Accounts and eligibility

You must provide accurate information when creating an account, including your Business’s category (MFB, CB, CU, or Last-Mile Provider — microcredit or susu). This category cannot be changed after signup because it determines which modules and pricing apply; if your Business’s regulatory status changes, contact us to migrate to a new account rather than misrepresenting your category. You are responsible for safeguarding your account credentials and for all activity under your account, including actions taken by team members you invite.

2.1 Roles and team access

A Business’s owner(s) and admin(s) are responsible for deciding who on their team gets access, at what role (owner, admin, staff, loan officer, underwriter, collections, or compliance), and for removing access when someone leaves. Quantum Fin enforces these roles technically but is not responsible for a Business’s own decisions about who it grants access to.

3. Fees and billing

Use of the Service requires a recurring subscription, and, for Microfinance Banks and Community Banks, a one-time implementation fee (data migration, training and setup). Other Businesses may optionally buy assisted setup for a one-time fee. All are billed in Ghana Cedis (GHS) through Paystack. The subscription price depends on your Business’s category, as shown on our pricing page at the time you sign up. Last-Mile Provider (susu and microcredit) Businesses may continue after the trial on a free plan limited to a stated number of members (currently 50 for susu and 30 for microcredit); existing records are kept, and the limit only prevents adding new members until the subscription is paid. Credit Unions with more than 100 members pay a one-time setup fee and a higher monthly price, and Last-Mile Provider (susu) Businesses may buy optional add-ons (offline collector mode, WhatsApp receipts, SMS receipts and reminders), each charged monthly or yearly at the prices shown on our pricing page. You may also prepay for a month, or for a year at ten months’ price, with Mobile Money or card. New subscriptions include a free trial before the first recurring charge (30 days for Microfinance Banks and Community Banks, 30 days or 50 members, whichever comes first, for Credit Unions, and 14 days for other Businesses); where an implementation fee applies, it is charged immediately and the trial starts once it is paid. Fees are stated and charged in GHS regardless of your Business’s own reporting currency. [Insert refund policy — this draft assumes fees are non-refundable except where required by Ghanaian consumer-protection law; confirm with counsel.] We may change prices for future billing periods with notice; continued use after a price change takes effect means you accept the new price.

We do not process or store your payment card details ourselves — Paystack, our third-party payment processor, handles that. Your use of Paystack is also subject to Paystack’s own terms.

3.1 Non-payment

If a subscription payment fails or your trial ends without payment, we may suspend access to the Service until payment is made. Suspension does not delete your Business’s data; see Section 9 (Term and termination) for what happens if non-payment continues.

4. Your data and your responsibilities

Your Business is responsible for the accuracy, lawfulness, and completeness of all data it enters into the Service — including its own clients’/members’ identity documents, financial information, and any other personal data (“Customer Data”). As between you and us, your Business is the data controller for Customer Data and we act as a data processor on your instructions — see our Privacy Policy for how this works. You represent that you have all rights, consents, and legal bases needed to have us process that data on your behalf, including under any anti-money laundering, know-your-customer, or data-protection law that applies to you.

You are solely responsible for decisions your Business makes using information from the Service — including risk grades, loan approvals, interest calculations, and compliance determinations. Quantum Fin performs calculations based on data and settings you provide; it does not verify the accuracy of that data or substitute for your own underwriting, compliance, or accounting judgment.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, or in violation of Bank of Ghana rules, anti-money-laundering law, or any other law that applies to your Business;
  • Attempt to access another Business’s data, or to bypass, probe, or disable the Service’s access controls or data isolation between Businesses;
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where the law gives you that right despite this restriction;
  • Resell, sublicense, or provide the Service to third parties as your own product; or
  • Interfere with the Service’s operation or attempt to gain unauthorized access to our systems.

6. Intellectual property

We own the Service, including its software, design, and documentation. Nothing in these Terms transfers that ownership to you. You retain all rights to your own Customer Data and business records; by using the Service, you grant us only the limited right to host, process, and display that data as needed to provide the Service to you.

7. Service availability and changes

We aim to keep the Service available and will use commercially reasonable efforts to do so, but we do not guarantee uninterrupted or error-free operation, and we are not currently offering a formal uptime service-level agreement. We may modify, add to, or remove features of the Service, and may perform maintenance that temporarily affects availability, with notice where practical.

8. Data security

We maintain reasonable technical and organizational measures to protect Customer Data, including per-Business data isolation enforced at the database level, encryption of data in transit and at rest, role-based access controls, and an append-only audit log of consequential actions. No system is completely secure, and we cannot guarantee that unauthorized access, loss, or misuse of data will never occur. See our Privacy Policy for more detail.

9. Term and termination

These Terms apply for as long as you maintain an account. You may stop using the Service and cancel your subscription at any time from Billing. We may suspend or terminate your account if you materially breach these Terms, if required by law, or if your subscription lapses for non-payment for an extended period. [Insert a specific data-retention/export window after termination — this draft assumes 30 days to export your data via the Service’s CSV export feature before deletion, subject to Section 10 below; confirm the actual period with counsel and any regulatory recordkeeping requirement.]

Sections that by their nature should survive termination (including Sections 6, 10, 11, 12, and 13) continue to apply after these Terms end.

10. Regulatory recordkeeping

Certain Customer Data — including identity verification and transaction records — may be subject to minimum retention periods under anti-money-laundering law applicable to your Business (Ghana’s current guidance contemplates five years from the end of a relationship or transaction). We may retain such data for the period your Business configures or that applicable law requires, even after your account is otherwise closed, and export tools are provided so your Business can maintain its own copies independent of Quantum Fin’s retention.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE NOT PERMITTED BY LAW. WE DO NOT WARRANT THAT CALCULATIONS, REPORTS, OR RISK ASSESSMENTS PRODUCED BY THE SERVICE ARE ERROR-FREE OR SUITABLE FOR ANY SPECIFIC REGULATORY, LENDING, OR ACCOUNTING PURPOSE WITHOUT YOUR OWN INDEPENDENT VERIFICATION. [Standard SaaS disclaimer language — confirm enforceability under Ghanaian law with counsel, particularly for a product touching regulated financial data.]

12. Limitation of liability

[Placeholder — a real cap needs counsel’s input, but a common structure is: to the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and each party’s total liability arising out of these Terms is capped at the fees paid by your Business in the 12 months before the claim arose, except for liability that cannot be limited by law (e.g., death, personal injury, fraud, or gross negligence, where applicable under Ghanaian law).]

13. Governing law and disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles. [Placeholder — confirm with counsel whether to specify courts of Ghana, a specific city’s jurisdiction, or an arbitration clause, and whether that changes for Businesses operating partly outside Ghana.]

14. Changes to these Terms

We may update these Terms from time to time. A meaningful change will be tracked as a new version, and we will ask you to re-accept before you can continue using the Service, the same way you accepted this version at signup. Continuing to use the Service after accepting a new version means you agree to it.
